HARARE – The Zimbabwe Music Rights Association (ZIMURA) has defended its decision to dispose of its Avondale flats without seeking approval from an Annual or Extraordinary General Meeting, saying the move was fully compliant with its governing laws.
According to ZIMURA, Article 41 of its Memorandum and Articles of Association grants the Board of Directors authority to make decisions deemed beneficial to the association between AGMs.
“An AGM or EGM is not required for such operational decisions,” the association said, adding that a formal board resolution was passed and a committee established to oversee the disposal process transparently.
ZIMURA said the decision was strictly an operational matter aimed at improving infrastructure and working conditions, not a strategic change requiring member approval.
The association further stated that the transaction was later disclosed to members and formally noted at the AGM held in October 2025, reinforcing its commitment to transparency and accountability.
ZIMURA’s defence comes amid criticism from sections of its membership and the public, some of whom have questioned the board’s decision-making authority and asset management practices.
